Users agree to abide by these Terms and applicable laws when engaging with the Platform. 1.4 "Customer" An end user who browses, places orders, or interacts with a Merchant's Ordegate-powered storefront. Customers are subject to the Merchant's own terms and policies as displayed on the storefront. 1.5 "Storefront" Refers to the branded online ordering page created by a Merchant using Ordegate's templates and tools. Each Storefront is customizable and can be connected to the Merchant's own domain. 1.6 "Subscription" Refers to the recurring monthly payment plan selected by the Merchant (Free, Growth, or Pro), which determines the features and capabilities accessible on the Platform. 1.7 "Add-On" Refers to optional paid modules that extend the Platform's functionality, including but not limited to POS, KDS, Dispatch, Call Centre, AI Chatbot, AI Marketing, Payment Links, and Loyalty. Each Add-On is billed monthly in addition to the Subscription. 1.8 "Content" Any information, text, photographs, product descriptions, menus, catalogs, logos, reviews, or other materials submitted, uploaded, or published by Users on the Platform. Users grant Ordegate a license to use, display, and distribute such Content as outlined in Section 7 (Intellectual Property). 1.9 "Service Fees" The recurring monthly fees charged by Ordegate to Merchants for Subscriptions and Add-Ons. Service Fees do not include commission on orders — Ordegate charges zero commission. 1.10 "Account" A user profile created by an individual or entity to access the Platform's features. Accounts include business information, preferences, billing details, and a history of transactions and orders. 1.11 "Cancellation Policy" Refers to the specific terms governing the cancellation of Subscriptions and Add-Ons, as outlined in Section 9 (Cancellation and Refunds). 1.12 "Force Majeure" Circumstances beyond Ordegate's reasonable control, such as natural disasters, acts of war, government actions, pandemics, or widespread infrastructure failures, that may impact the Platform's operation.

As a Merchant on the Ordegate Platform, you are responsible for creating and managing your Storefront, listing products and services, fulfilling orders, and maintaining a positive experience for your Customers. By using the Platform, you agree to comply with these Merchant Terms.
Merchants are responsible for ensuring their Storefronts are accurate, complete, and up-to-date. This includes:

Merchants must fulfill orders in a timely, accurate, and professional manner. This includes:

To maintain community trust, Ordegate expects Merchants to comply with their responsibilities. Failure to meet these standards may result in:

Optional Add-On modules are billed monthly in addition to your Subscription:
Volume discounts apply for multiple Add-Ons: 15% off for 3 Add-Ons, 25% off for 4 Add-Ons, and 35% off for 5 or more Add-Ons.
Ordegate charges zero commission on all orders processed through the Platform. Your order revenue belongs entirely to you. The only fees you pay are your monthly Subscription and any activated Add-Ons.
Subscription and Add-On fees are billed monthly in advance. By subscribing, you authorize Ordegate to charge your registered payment method on each billing date. Payments are processed securely through authorized payment providers. The total amount charged will include:
If a payment fails, Ordegate will notify you and provide a 7-day grace period to update your payment method. If the payment remains unresolved after the grace period, your Subscription and active Add-Ons may be suspended until payment is received. During suspension, your Storefront will be deactivated and you will not be able to process orders.
Ordegate may offer promotional pricing from time to time, such as the current launch offer of 50% off all plans and Add-Ons for the first 6 months. Promotional terms:

Merchants are responsible for understanding and fulfilling their tax obligations related to their use of the Platform and the orders they process. Ordegate does not provide tax advice. You should consult with a tax professional to ensure compliance with applicable tax laws. In some jurisdictions, Ordegate may be required to collect and remit taxes on Subscription fees, which will be disclosed on your invoice.
Upon each payment, you will receive an invoice summarizing your Subscription plan, active Add-Ons, any applicable taxes, and the total amount charged. Invoices are available in your Dashboard under Settings > Billing > Invoices.

Ordegate will review appeals within 7-14 days. The outcome is final and binding.
Ordegate employs fraud detection systems to monitor for suspicious activities. Accounts flagged for potential fraud may be suspended pending investigation. Merchants found to have engaged in fraudulent activities face permanent account termination and potential legal action.
Ordegate encourages Merchants to resolve issues through direct communication with our support team first.
For any dispute, contact ordegate.com">support@ordegate.com with a detailed description of the issue and any supporting evidence. Ordegate will acknowledge receipt within 24 hours and work in good faith to resolve the matter within 7-14 business days.
If internal resolution is unsuccessful, either party may request mediation through a mutually agreed-upon mediator. Mediation costs will be shared equally between the parties.
If mediation fails, disputes will be resolved through binding arbitration in accordance with the rules of the jurisdiction where Ordegate is registered, unless otherwise required by applicable law. Both parties agree to accept the arbitrator's decision as final.
Any legal claims arising from the use of the Platform must be filed within one year from the date the cause of action occurred, unless a longer period is required by applicable law.
These Terms are governed by and construed in accordance with the laws applicable in the jurisdiction where Ordegate is registered. Any disputes that cannot be resolved through the dispute resolution process outlined in Section 13 will be subject to the exclusive jurisdiction of the courts in that jurisdiction. While Ordegate serves an international user base, Merchants are responsible for ensuring their use of the Platform complies with local laws and regulations in their own jurisdictions.
Ordegate reserves the right to update, amend, or modify these Terms to reflect changes in laws, operational requirements, user feedback, or Platform enhancements.
